Designation : Senior Consultant – Corporate Law
Location: Gurugram/ Noida
On Site

Job Summary:

Senior Consultant – Company Secretary supervises firms client corporate law professional assignments and ensures that all clients engagement related to company law, FEMA and other allied corporate laws are accurately and timely executed, following rules & agreed action steps, responsibilities, and deadlines.

Responsibilities:

Experience in handling a portfolio of regulatory , company law and corporate law clients across diverse industries and backgrounds
Develop an in-depth knowledge of existing and potential clients, their industry, and key contacts
Meet prospective clients and follow-through until the job is accepted or rejected
Responsible for filing, certifying and registering any document including forms, returns, and applications which may include drafting of letters and resolutions, minutes etc
Advise the clients on the corporate law & secretarial matters as and when required
Handles the promotion, formation, and incorporation of companies, LLP’s and the related matters as when required by the client companies
Manages all the tasks related to FEMA
The candidate should have enough experience of special corporate law matters such as Buybacks, Fast track mergers , transfer & transmission of shares, Dividend declaration etc
Drafting and reviewing the Contracts as per the need of the clients
Manage and coordinate the Legal or Compliance Audit activities for the clients
Completing all the legal, FEMA & ROC compliances
Handling all kind of secretarial documents of clients and keeping the tracker and record of the same for future purposes
Keeping up to date with any regulatory or statutory changes and policies that might affect the clients’ organization
Review of NDA, engagement letters, business contracts, MoU, financing agreement, service contracts, etc. for the clients
Managing a small team as well
Perform review on teams deliverables and add value to the work that has to be delivered to the clients
Focus on providing good client service ensuring that clients receive prompt responses to requests and queries
Ensure all communications with clients are supported by emails, outlining agreed action steps, responsibilities, and deadlines
Responsible for ensuring that commitments made to the client are followed-up in a timely manner so that the clients are satisfied
Helping firm to grow it India and UAE business set up and corporate law practice

Required Skills/Abilities:

Excellent verbal and written communication skills
Excellent knowledge of Companies Act and FEMA, Contract Act, Stamp Act etc
Moderate knowledge of Labour codes, Insolvency Code, Registration Act, etc.
Some Knowledge of UAE corporate law would be added advantage.
Ability to research various laws on various matters as per client requirements
Excellent analytical skills to analyse and opine on various statutory provisions
Excellent client servicing skills and strong problem-solving skills
Able to work independently and work under tight deadlines
Able to train, lead and motivate a team of professional staff
Meticulous, organized, detailed and deadline-oriented

Education and Experience:

Qualified CS and Law Graduate holding CS- COP
8-9 years of exposure in professional firms providing corporate secretarial services
